Gold Resource Corporation Announces $2.5 Million Registered Direct Offering

Gold Resource Corporation (NYSE American: GORO) (the “Company”) today announces that it is pursuing a registered direct offering with certain investors for the purchase and sale of up to 15,625,000 shares of the Company’s common stock at a price of $0.16 per share (the “Shares”), resulting in estimated total gross proceeds of approximately $2.5 million. The closing of the sale of the Shares is expected to take place within the next 10 days, subject to the satisfaction of customary closing conditions.

The Shares were offered and will be sold by the Company pursuant to a “shelf” registration statement on Form S-3 (File No. 333-271913), including an accompanying prospectus, declared effective by the Securities and Exchange Commission (the “SEC”) on June 9, 2023. The offering of the Shares was made only by means of a prospectus, including a prospectus supplement, that forms a part of the registration statement. A final prospectus supplement and accompanying prospectus relating to the registered direct offering will be filed with the SEC and will be available on the SEC’s website located at www.sec.gov.
