ASX RELEASE – PointsBet Receives Bidder’s Statement From MIXI

Melbourne, 17 July 2025

PointsBet Holdings Limited (ASX: PBH) (PointsBet) refers to the attached letter from MIXI Australia Pty Ltd (MIXI Australia), which states that MIXI Australia has lodged its bidder’s statement for its off-market takeover bid for PointsBet (MIXI Takeover Offer) with ASIC and provided a copy to PointsBet and ASX.

MIXI Australia currently has a relevant interest in 9.15% of PointsBet shares as a result of entering into certain pre-bid acceptance agreements with major PointsBet shareholders.

The PointsBet Directors unanimously recommend that PointsBet shareholders accept the MIXI Takeover Offer, in the absence of a superior proposal.

Subject to the same qualification, each PointsBet Director who holds or controls PointsBet shares also intends to accept the MIXI Takeover Offer in relation to those PointsBet shares within 10 business days of receiving the MIXI Takeover Offer.

These shares represent approximately 8.0% of the outstanding PointsBet shares on issue.

PointsBet intends to release its target’s statement shortly, which will contain further information including the reasons for the PointsBet Directors’ unanimous recommendation that PointsBet shareholders accept the MIXI Takeover Offer, in the absence of a superior proposal.

This announcement has been authorised for release by the Company Secretary.
