ASX RELEASE – Unsolicited All-Scrip Betr Takeover Offer TAKE NO ACTION

PointsBet Holdings Limited (ASX: PBH) (PointsBet) confirms that, after-market close yesterday, it received a copy of the bidder’s statement in relation to Betr Entertainment Limited’s (ASX:BBT) (Betr) unsolicited, conditional off-market all-scrip (share) takeover offer of 3.81 Betr shares for every 1 PointsBet share (Unsolicited Betr Scrip Offer), which using Betr’s closing price on 16 July 2025 implies a value equivalent to approximately $1.03 per PointsBet share. Betr’s bidder’s statement has also been lodged with ASIC and ASX.

PointsBet notes that the implied value of the Unsolicited Betr Scrip Offer is also $1.03 per PointsBet share when calculated using Betr’s 20 trading day market VWAP ending 16 July 2025, and that the implied value has been lower than this in more recent trading periods.

PointsBet shareholders are advised to take no action in relation to the Unsolicited Betr Scrip Offer or any documentation provided by Betr until PointsBet provides further information in relation to the Unsolicited Betr Scrip Offer.

PointsBet will in due course prepare a target's statement (Betr Target’s Statement) responding to the Unsolicited Betr Scrip Offer, which will include the PointsBet Board’s formal recommendation in relation to the Unsolicited Betr Scrip Offer.

PointsBet shareholders should consider the information in the Betr Target's Statement prior to making any decision regarding the Unsolicited Betr Scrip Offer.

Unanimous recommendation of MIXI Takeover Offer

As previously announced, the PointsBet Directors unanimously recommend the MIXI Takeover Offer announced on 26 June 2025 which is fully funded and delivers cash and timing certainty of $1.20 per PointsBet share.

Further details with regards to the MIXI Takeover Offer will be provided to shareholders in due course.
